In corporate law, we are primarily active in an advisory and legal structuring role. We draft articles of incorporation for corporations, partnership agreements for partnerships, and articles of association for cooperatives and foundations, and advise on the choice of the optimal legal form, taking into account corporate, tax, inheritance, and family law aspects. Providing assistance in connection with capital increases and capital reductions is just as much a part of our work as structuring all legal transformation processes, particularly the structuring of mergers, demergers and changes of legal form. We draft corporate agreements of all kinds, particularly control and profit transfer agreements, as well as management and company lease agreements.
We advise in the event of conflicts between shareholders and the company or its executive bodies and litigate disputes before national courts and arbitration tribunals.
Closely related to corporate law are corporate acquisitions. We assist in the acquisition and divestiture of companies, parts of companies and shareholdings, and also advise our clients on such transactions, e.g., with regard to the implementation and support of due diligence reviews.
